Terms and Conditions

1. Acceptance of Terms
By accessing or using BidScreener (the "Services"), you agree to these Terms and Conditions. If you do not agree, do not use the Services.
2. Description of Service
BidScreener provides AI-powered tools to assist users in reviewing and evaluating Requests for Proposals (RFPs), Requests for Quotes (RFQs), contracts, and related business documents.
The Services are decision-support tools only. Outputs, summaries, scores, and assessments are not legal, financial, accounting, or professional compliance advice. You are responsible for independently reviewing the original documents and obtaining professional advice where appropriate before making decisions, submitting bids, or entering into contracts.
3. User Responsibilities and Conduct
You may use the Services only for lawful purposes and in accordance with these Terms.
You are responsible for ensuring that you have the rights and authority to upload each document and to permit BidScreener and its service providers to process it to provide the Services. Do not upload documents unlawfully or in violation of confidentiality, privacy, or other obligations.
4. AI Outputs and Disclaimer
AI-generated results may contain errors, omissions, inaccuracies, or missed risks. BidScreener does not guarantee that any output is accurate, complete, current, or suitable for a particular purpose.
You must verify findings against the original documents and exercise your own judgment. You are solely responsible for decisions or actions taken based on the Services.
5. Credits, Payments, Expiry, and Refunds
Payments for credit purchases are processed by Paddle or its designated payment service providers, subject to their applicable terms and policies.
Purchased credits expire one (1) year from the date of purchase. Credits are non-transferable, have no cash value, and cannot be exchanged for cash.
Credits are not deducted for scans that fail. If credits are deducted for a failed scan, the deducted credits will be returned to your account.
If a payment is successfully charged but the purchased credits are not delivered, contact BidScreener support or follow the payment provider's process so the issue can be investigated and resolved.
Except where required by applicable law or the applicable payment provider's policies, purchases are final and refunds are not provided for unused credits or completed purchases. Nothing in these Terms limits any mandatory rights you may have under applicable law.
Credit requirements for a scan will be displayed in the Services. You are responsible for reviewing the applicable credit cost before starting a scan.
6. Data Storage and Auto-Deletion
Uploaded documents and generated reports are retained for up to thirty (30) days from upload or generation, as applicable, and are then scheduled for deletion from primary application systems.
Deletion may not immediately remove copies held in backups, logs, or by service providers where retention is necessary for security, legal, or operational reasons. Such copies are handled according to applicable retention practices and legal requirements.
You are responsible for downloading and backing up documents and reports you wish to keep before the applicable retention period ends.
7. AI Model Training and Processing
BidScreener does not use uploaded documents, proprietary data, RFQ contents, or evaluation outputs to train or fine-tune its own public or shared AI models.
Documents and related information may be processed by third-party AI and infrastructure providers as necessary to provide the Services. Such providers may process data under their own service terms and applicable data-processing arrangements. Refer to the Privacy Policy for further details.
Publish the preceding commitments only to the extent they accurately reflect the configuration and contractual terms of the providers you use.
8. Ownership and Limited Processing Permission
You retain any rights you hold in documents and other materials you upload. You grant BidScreener a limited permission to host, process, reproduce, and transmit those materials as reasonably necessary to provide, secure, and maintain the Services.
Subject to applicable law and third-party rights, you may use the reports generated for your own business purposes. The Services and their underlying software, branding, and technology remain the property of BidScreener or its licensors.
9. Third-Party Providers
BidScreener relies on third-party providers for functions such as hosting, AI processing, authentication, payment processing, security, and monitoring, where applicable.
Third-party services may be subject to their own terms and policies. BidScreener is not responsible for third-party services to the extent they are outside BidScreener's reasonable control.
10. Limitation of Liability
To the extent permitted by applicable law, BidScreener and its owners, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to use of the Services.
This includes losses arising from AI-generated errors or omissions, missed contract risks, service interruptions, or decisions made in reliance on outputs. You remain responsible for independently checking the original documents and making your own decisions.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
11. Service Availability, Suspension, and Termination
We may update, suspend, or discontinue parts of the Services for operational, security, legal, or business reasons. We may suspend or terminate access where we reasonably believe a user has violated these Terms, created a security risk, or used the Services unlawfully.
Where reasonably practicable, we will provide notice of material service changes. These Terms do not guarantee uninterrupted or error-free availability.
12. Changes to These Terms
We may update these Terms from time to time. We will post the revised version with an updated effective date. Where required by law, we will provide additional notice or obtain consent for material changes.
